Mergers And Acquisitions And The Take Over Code

This course, conducted by LexisNexis, will bring you up-to-date information on mergers and acquisitions.

Course Objective:
The objective of this course is to consider the application of the Hong Kong Takeovers Code in the commercial context. The effect of the Code on the way in which M&A activity is undertaken will be considered against M&A activity in the unregulated context.

Course Outline:

  • M&A in the unregulated context
  • The bigger picture: the role of politics and nationalism
  • Review of the main operative aspects of the Takeovers Code
  • The impact of the Code on the commercial aspects
  • Relevance of the Listing Rules and the SFO
  • Treatment of information and due diligence

Syren Johnstone, BA (Hons 1)(Syd.), MSc (Oxon), Dip. Law, MA (Law), Visiting Fellow of Asian Institute of International Financial Law, University of Hong Kong. Syren practiced as a transactional and corporate lawyer with Linklaters as a solicitor before joining BSCH as Regional Head (Asia) of Legal and Compliance. He subsequently took up a front office role with Société Générale as Regional Head (Asia) of Transaction Management where he was the SFC registered Investment Adviser for Equity Corporate Finance. Syren is a co-author of "Financial Markets in Hong Kong: Law and Practice" published by Oxford University Press in March 2006. He also teaches selected courses in the LLM programme at Hong Kong University covering regulation of securities markets and mergers and acquisitions.
